On September 21, Enel Américas’ Board of Directors announced an important detail regarding a proposal for incorporating, through a merger, EGP Américas SpA into Enel Américas S.A.

EGP Américas SpA is the company that will own the non-conventional renewable energy generation subsidiaries that Enel Green Power holds in Central and South America (except Chile).

Enel Américas’ Board of Directors agreed to declare that the aforementioned merger will be treated as a related party transaction (OPR) subject to all the procedures and requirements set forth in Title XVI of the Corporations Act. These include the designation and publication of reports by two independent evaluators, which are additional to the respective reports that will be prepared by the independent appraisers in accordance with Title IX of said law.

All the aforementioned reports and other relevant information will be published in due course on this website and on the  Enel Américas S.A. website. This is so that all shareholders and the market in general will have all the information necessary in order to make an informed decision at the corresponding shareholders' meeting. The proposal shall be submitted to an Enel Américas Extraordinary Shareholders' Meeting and to an EGP Americas SpA Shareholders' Meeting.
